Terms of Service

These Terms of Service ("Terms") form a binding agreement between Service Rehash, LLC ("Service Rehash," "we," "us," or "our") and the business or individual accessing our website or services ("you" or "Client"). By accessing our website, creating an account, or using our services, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

Specific services may also be governed by a separate written services agreement, order form, or statement of work. If there is a conflict between these Terms and a signed agreement, the signed agreement controls for the services it covers.

Service Rehash provides outsourced sales recovery and follow-up services to HVAC and other home service companies. On your behalf and under your authorization, we contact your customers and prospective customers ("Homeowners") by phone, text message, and email to follow up on estimates, re-engage aging leads, handle objections, and book jobs. We also provide a software platform and reporting to support these services.

You appoint Service Rehash to act on your behalf when communicating with Homeowners, and you authorize us to represent your company in those communications consistent with your instructions and applicable law.

Service Rehash performs its services as an independent contractor. Nothing contained in these Terms or any related agreement creates a partnership, joint venture, agency, employment, franchise, or fiduciary relationship between the parties, except that Service Rehash is authorized solely to communicate with Homeowners on the Client's behalf as described in these Terms and any applicable agreement.

As a Client, you are responsible for:

• Providing accurate customer information and ensuring you have the legal right and any necessary consents to share that information with us and to authorize contact with Homeowners;
• Complying with all laws applicable to your business, including telemarketing, text messaging, email, and consumer protection laws, and providing accurate do-not-contact and opt-out lists;
• Maintaining the security of your account credentials and authorized users;
• Using the services and any reports or output only for lawful, legitimate business purposes;
• Paying all fees as agreed.

Client is solely responsible for obtaining all legally required consents and authorizations before providing Homeowner information to Service Rehash or directing Service Rehash to contact any individual.

Our services integrate with third-party systems you use, including CRM platforms, phone and telephony systems, email providers, and SMS/text messaging providers. By connecting an integration, you authorize the exchange of information between those systems and our platform. Your use of third-party services is governed by those providers' own terms, and we are not responsible for their performance, availability, or practices.

Our platform uses artificial intelligence and automation to assist with note generation, summarization, reporting, and workflow automation. AI-generated content may contain errors and is intended to support, not replace, human judgment. You are responsible for reviewing output before relying on it for business decisions. We may improve our AI features over time, and their availability and behavior may change.

By using our services, you consent to receive communications from Service Rehash electronically, including notices, invoices, and service-related communications.

Our collection and use of information is described in our Privacy Policy. When we process Homeowner information that you provide, we act as your service provider and process that information to deliver the services. You retain ownership of your customer data, and you grant us a limited license to use it solely to provide and improve the services and as otherwise permitted by these Terms or a signed agreement.

You agree not to:

• Use the services to send unlawful, deceptive, or harassing communications;
• Provide contact information for individuals who have not been lawfully obtained or who have opted out of contact;
• Attempt to gain unauthorized access to our systems, interfere with their operation, or circumvent security measures;
• Reverse engineer, copy, or resell the platform except as expressly permitted;
• Use the services to violate any applicable law or third-party rights.

Service Rehash will follow the Client's communication preferences and instructions but does not independently verify whether the Client has obtained all legally required permissions or consents.

Fees for the services are set out in your order form, statement of work, or applicable agreement. Unless otherwise stated, fees are due as invoiced and are non-refundable. We may suspend services for non-payment after providing reasonable notice. We may update pricing on a going-forward basis with notice as described in your agreement.

Service Rehash retains all rights, title, and interest in our website, platform, software, methodologies, and related materials, excluding your customer data. These Terms do not grant you any rights to our intellectual property except the limited right to use the services as intended during the term of your agreement.

Each party may have access to the other's confidential information. Both parties agree to protect such information, use it only as needed to perform under these Terms, and not disclose it except to personnel and contractors bound by confidentiality obligations or as required by law.

The services are provided on an "as is" and "as available" basis. While we work diligently to recover revenue and book jobs, we do not guarantee any specific results, revenue, close rates, or outcomes. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Service Rehash will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to the services. Our total liability for any claim arising out of or relating to these Terms will not exceed the amount you paid us for the services in the twelve months preceding the event giving rise to the claim.

Neither party shall be liable for delays or failures caused by events beyond their reasonable control, including natural disasters, internet outages, labor disputes, governmental actions, or failures of third-party providers.

You agree to indemnify and hold Service Rehash harmless from claims, damages, and expenses arising out of your breach of these Terms, your provision of customer information without proper rights or consents, or your violation of applicable law.

These Terms remain in effect while you use our services. Either party may terminate as set out in the applicable agreement, or, absent a separate agreement, with reasonable notice. Upon termination, your right to use the services ends, and we will handle your data in accordance with our Privacy Policy and any applicable agreement. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. The parties agree that any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Texas.

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the services after changes take effect constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with any signed Order Form, Statement of Work, or Master Services Agreement, constitute the entire agreement between the parties regarding the services.

Neither party may assign these Terms without the other party's consent, except in connection with a merger, acquisition, or sale of substantially all assets.
